What are the tax benefits of a merger?

The acquirer may preserve the net operating loss and other tax attributes of the target company, which may result in a tax liability reduction. If the acquiring and the target companies are involved in different business area with different applicable income tax rates, the acquirer may take advantage of such differentials. Compared with an asset acquisition, a merger will not trigger any VAT or business tax issues.
